By accepting our estimate, signing electronically, or authorizing work, you (“Client”) agree to the following Terms & Conditions with Salt Lake City Christmas Lights (“Company”). These terms form a legally binding agreement.

1. Scope, Estimates & Acceptance

  • All estimates are final once accepted.
  • Any changes to the scope, quantities, materials, or design after acceptance require a written Change Order. Change Orders may delay scheduling or completion.
  • The Company’s scope is limited to the services and materials expressly set out in the estimate/quote. Anything not included is excluded.

2. Payment, Deposits & Methods

  • A 50% deposit is required to secure scheduling. The deposit secures placement on the Company's calendar.
  • The remaining 50% balance is due immediately upon completion of installation.
  • Payments cover the seasonal installation, service, storage, and use of Company-owned lighting and materials. Payment does not constitute a purchase of any lights or materials.
  • Accepted payments: credit card, ACH, or check. Client authorizes Company to securely keep a card on file and automatically charge balances, fees, or amounts due.
  • Returned/declined payments: Client will be charged a $35 NSF fee plus any bank fees.
  • Late payment: balances accrue 1.5% per month (18% APR) or the maximum rate allowed by law, whichever is lower, from due date until paid.
  • Deposits are non-refundable once scheduling is confirmed for jobs scheduled between November 1 – December 1.

3. Scheduling, Rescheduling & Cancellations

  • Company retains full discretion over installation and takedown schedules.
  • Weather, seasonal demand, safety, and workload may impact timing.
  • Client does not need to be home for installation, service, or takedown.
  • Scheduling is first-come, first-served once deposit is received.
  • Client may reschedule with advance notice; availability is not guaranteed. Reschedules within 14 days of install may incur loss of deposit.
  • Cancellation: Client may cancel up to 14 days prior to scheduled install for refund of deposit (except Nov 1 – Dec 1 installs, where deposits are non-refundable).

4. Property Access & Site Conditions

  • Client authorizes Company to access property for installation, service, takedown, and storage retrieval.
  • Client must ensure safe, unobstructed access (clear driveways/walkways, remove ice/snow, secure pets, provide outdoor power access).
  • Unsafe conditions may result in delay, refusal, or rescheduling.
  • Client is responsible for marking private utilities (irrigation, invisible fencing, satellite, etc.). Company is not responsible for damage to unmarked utilities.

5. Ownership, Storage & Retrieval

  • All lights, materials, timers, and related equipment provided by the Company remain the sole and exclusive property of the Company at all times. The Client is paying for seasonal installation, service, storage, and use of Company-owned equipment — not for the purchase of any lights or materials. At no point does ownership transfer to the Client.
  • Seasonal pricing includes install, takedown, and off-season storage of the Company-owned equipment.
  • Returning Clients: the Company retains and stores the equipment between seasons at no additional charge, ready for reinstallation the following year.
  • Non-Returning Clients: if a Client does not renew service, the Company will remove and retain its own equipment at takedown. Because the equipment belongs to the Company, there is nothing for the Client to retrieve, purchase back, or store. No lights or materials will be released to the Client.
  • Loss or damage to Company equipment: while installed on the Client's property, the Client is responsible for loss of or damage to Company-owned equipment caused by the Client, their guests, pets, tampering, or negligence. The Company is not responsible for normal wear, weather, or third-party acts beyond the Client's or Company's control (see Section 8).
  • Prior-season purchasers (grandfathered): Clients who purchased their lights under the Company's prior sale-based terms in a season before 2026 retain ownership of those specific materials, and the prior ownership, storage, and retrieval terms continue to apply to that equipment only. The ownership terms in this Section 5 apply to all installations in the 2026 season and thereafter.

6. Installation, Warranty & Maintenance

  • Company installs using industry best practices.
  • Workmanship Guarantee: Company guarantees installation workmanship for 30 days from install date.
  • Maintenance Window: Routine service is included during the active installation season (November – January). After January 31, no service will be provided without additional cost.
  • Non-Company Fault Service Calls: After 2–3 service calls for issues not caused by Company (e.g., animals, vandalism, misuse), further service will incur additional fair fees agreed upon with Client.
  • Because the Company owns the lights and materials, any applicable manufacturer warranties are held and managed by the Company. The Company does not guarantee product durability or manufacturer performance to the Client, and product performance is not a basis for refund of service fees.

7. Insurance, Licensing & Subcontracting

  • Company is fully licensed and insured. Proof available upon request.
  • Company may subcontract labor. Company remains responsible for overall quality and performance.

8. Liability & Indemnity

  • Company is not responsible for damage to roofing, shingles, gutters, landscaping, or electrical systems unless caused by clear negligence.
  • Company is not liable for outages caused by weather, power surges, vandalism, animals, misuse, or events beyond its control.
  • Client agrees to indemnify and hold harmless Company from claims, losses, or damages (including attorney’s fees) arising from Client’s breach, misuse, or undisclosed conditions.
  • Total liability is limited to the amount paid by Client for services.

9. Repossession & Collections

  • The lights and materials are Company property at all times. If payment is not made, the Company may suspend service and remove its equipment from the Client's property.
  • Client is responsible for all costs of collection on unpaid balances, including attorney fees, court costs, and collection agency fees.
  • Company may report unpaid balances to credit agencies.

10. Change Orders & Additional Work

  • All changes outside the original scope require a signed Change Order.
  • Change Orders may result in scheduling delays and additional charges for materials/labor.

11. Taxes & Fees

  • Client is responsible for applicable taxes. Taxes will be included on invoices where required.

12. Force Majeure

  • Company is not liable for delays, damages, or non-performance caused by weather, acts of God, pandemics, strikes, accidents, supply shortages, or governmental actions.

13. Dispute Resolution & Governing Law

  • Service disputes must be submitted in writing (letter, email, or text) with photos/details. Company has 30 days to inspect and correct.
  • If unresolved, disputes go to binding arbitration under Utah law. Arbitration awards may be entered into court.
  • Client agrees arbitration is the exclusive remedy for disputes, except Company may seek court action to protect its property or collect debt.

14. Media Rights & Marketing

  • Client grants Company permission to use photos, videos, testimonials, and descriptions of completed work for marketing, social media, and advertising.
  • Consent remains in effect unless Client withdraws it in writing.

15. Communications & Notifications

  • By entering this Agreement, Client consents to receive communications via phone, text, and email about scheduling, service updates, invoices, and limited promotions.
  • Client may opt out of marketing at any time, but transactional/service communications will continue.

16. Miscellaneous

  • Company may reschedule or delay work as needed for safety, weather, or operational reasons.
  • Severability: If any provision is invalid, the rest remain enforceable.
  • Waiver: Failure to enforce a provision is not a waiver of future enforcement.
  • Assignment: Company may subcontract or assign duties; Client may not assign without Company’s written consent.
  • Entire Agreement: This document plus the estimate and signed Change Orders form the entire agreement.

17. Acceptance

By signing or accepting the estimate, Client acknowledges having read and agreed to these Terms & Conditions.
